JackJack Live — Terms of Service

1. Introduction

Welcome to JackJack Live. These Terms of Service (the “Terms”) govern your use of JackJack Live — our website at jackjacklive.com, the version of it you can install to a phone or computer, and any other software, features, or services we offer in connection with them (together, the “Service”). In these Terms, “we,” “us,” “our,” and “JackJack Live” mean Joint Innovation Group LLC, an Arizona limited liability company and the operator of the Service.

Please read these Terms carefully. You must agree to them to use the Service. If you are registering or using the Service on behalf of an organisation or another person, you are agreeing to these Terms on their behalf and confirming you have the authority to bind them, and “you” refers to them as well.

Your use of the Service is also governed by our Privacy Policy and our Community Guidelines, both of which are incorporated into these Terms by reference.

BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

We record which version of these Terms you accepted and when. If we make a material change, we will ask you to accept the new version before you keep playing.

2. Eligibility

You must be at least 18 years old to create an account or use the Service. There is no version of the Service for anyone younger.

The Service is not available everywhere. You may not use the Service if you are located in, or are a resident of, a jurisdiction where the Service or the features you are using are prohibited, or where you are barred from receiving services under applicable sanctions or export laws. You are responsible for knowing and complying with the laws that apply to you. We may block, restrict, or close accounts based on the jurisdiction we determine you are in, and you may not use a VPN or similar tool to get around a block.

If we find that an account belongs to someone under 18, we will close it and refund any unspent purchased balance to the original payment method.

3. Your Account

Registering requires an email address, a display name, and a password. You, not we, are responsible for keeping your password secure. You are responsible for all activity that occurs under your account, whether or not you authorised it.

Tell us immediately at jointinnovationgroup@gmail.com if you believe your account has been accessed without your permission or if you become aware of any other security problem.

One account per person. Not one per device, not one per email address — one per person. You may not share, sell, rent, gift, or transfer your account, and you may not buy or accept an account from anyone else. Accounts have no ownership value and are licensed to you, not sold.

You can delete your account yourself at any time from your profile page. Deleting it removes your login, your profile, your messages, your statistics, and your balances. It cannot be undone, and any Virtual Items you hold are released as described in Section 4.

4. Virtual Chips and Virtual Items

The Service uses Jacks, chips, and collectible vault items (together, “Virtual Items”) for play. Jacks are bought with real money. Chips are obtained with Jacks and used at the tables. Vault items are won, bought with chips, or traded between players inside the game.

Virtual Items are a limited, personal, revocable licence to use a feature of the Service. They are not money, not a deposit, not a stored-value or payment instrument, and not property.

Virtual Items have no cash value. They cannot be redeemed for money, goods, or anything of value outside the Service. They cannot be sold, traded, gifted, or transferred except through the features we provide for that purpose inside the game, which are:

Balances of Virtual Items are not transferable on death, in a dissolution of marriage, or otherwise by operation of law.

Some vault items are issued in limited numbers and carry an edition number — “47 of 100”, or “1 of 1”. That number is a feature of the game and a record of when the copy was issued. It does not make the item property, does not give it a cash value, and does not entitle you to anything outside the Service. Everything in this Section applies to numbered items exactly as it applies to any other.

We may create, control, remove, adjust, expire, revalue, or discontinue Virtual Items at any time, including adjusting balances to correct errors, reverse fraudulent activity, or address conduct that violates these Terms or our Community Guidelines. We are not liable to you for doing so. If your account is suspended or closed, or if the Service is discontinued, any Virtual Items associated with it are forfeited without compensation.

JackJack Live is a social game. No result at any table pays out money or anything redeemable for money. There is no cash-out, no prize redemption, and no sweepstakes element. Winning a hand increases a number inside the game. That is the whole of it.

5. Purchases, Billing, and Refunds

Some parts of the Service can be purchased. Prices are shown before you buy. Purchases made directly through us are processed by Stripe; we never see or store your full card number. If we later distribute the Service through a mobile app store, purchases made there will be processed by that store under its own terms, and refund requests for them will be handled by that store rather than by us.

Jacks are credited once the payment is confirmed. All purchases are final and non-refundable except where a refund is required by law or granted at our sole discretion.

If a payment is reversed or charged back, we may remove the Jacks it bought — including anything you have since converted or spent — and suspend the account while we sort it out.

We do not currently offer subscriptions or recurring charges. If we introduce them, we will say so clearly before you buy, and you will be able to cancel from your account settings.

We may change prices, offerings, and promotional terms at any time. Any promotional Virtual Items or bonuses may carry conditions, and we may withhold or reverse them where the conditions are not met or where the promotion is abused.

6. Fair Play and Prohibited Conduct

Our Community Guidelines describe the conduct expected on the Service, including the rules against collusion, chip dumping, bots and automation, real-time assistance, ghosting, and multi-accounting. Those rules are part of these Terms.

7. Content

The Service makes available games, text, graphics, software, images, audio, and other materials supplied by us or our licensors (“Our Content”). We work to keep Our Content accurate and current, but we do not guarantee that it is.

You may also create or transmit information through the Service — chat messages, private messages, display names, avatars, profile text, wall posts, and photographs you upload (“User Content”). You are solely responsible for your User Content and for the consequences of posting it. We do not pre-screen or actively monitor all User Content, and we do not guarantee its accuracy or quality. Using the Service may expose you to content you find objectionable.

Photographs you upload to be turned into your seat at the table are reviewed by a person before they appear to other players. That review is for suitability only.

You may not include personal information about any other person in your User Content, and you may not upload a photograph of someone who has not agreed to it.

We may, but are not obliged to, review, refuse, remove, or restrict access to User Content for any reason, including because it violates these Terms or our Community Guidelines. We may stop storing User Content, and content that has been deleted may be unrecoverable. We are not responsible for the deletion of, or failure to store, any User Content.

8. Licence From You

You keep whatever rights you have in your User Content. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable licence:

These licences end when you delete the User Content, except for copies retained in backups, in records required for legal or safety purposes, or where the content has been shared with others who have not deleted it.

9. Proprietary Rights

We and our licensors own all right, title, and interest in the Service and Our Content, including all associated copyrights, trademarks, patents, and other intellectual property rights, whether registered or not. Except for the limited licence in Section 10, these Terms grant you no rights in the Service or Our Content.

Except for the licence you grant in Section 8, we obtain no rights in your User Content. You are responsible for protecting and enforcing your own rights in it; we have no obligation to do so on your behalf.

10. Licence From Us

Subject to these Terms, we grant you a personal, worldwide, royalty-free, non-assignable, non-sublicensable, non-exclusive, revocable licence to use the software we provide as part of the Service, solely for your personal, non-commercial, recreational use. We reserve all rights not expressly granted.

11. Third-Party Services and Software

The Service relies on third parties to operate: Render hosts it, Stripe processes payments, and Resend delivers our email. The Service may also link to websites and resources we do not control, and incorporates third-party software licensed under its own terms. We do not endorse and are not responsible for third-party content, products, or practices, and we are not liable for any loss arising from your use of or reliance on them. Nothing in these Terms limits your rights under, or overrides, the licence terms applicable to any third-party software.

12. Installing the Service

You can add JackJack Live to the home screen of a phone or computer directly from your browser. Doing so installs no separate application and involves no app store.

If we later distribute the Service through the Apple App Store, Google Play, or any other store, the following apply to that copy: these Terms are between you and us, not between you and the store; the store is not responsible for the Service or for supporting it; the store has no warranty obligation in respect of it; and the store and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. You must also comply with the store's own terms of service.

13. Suspension and Termination

You may stop using the Service at any time. You can delete your account yourself from your profile page, or write to us at jointinnovationgroup@gmail.com and we will do it for you.

We may suspend or terminate your access, in whole or in part, with or without notice, if we reasonably believe you have violated these Terms or the Community Guidelines, if we are required to by law, or if continuing to provide the Service to you would create risk for us or for other players. On termination, your licence to use the Service ends immediately and any Virtual Items are forfeited as described in Section 4.

Sections 4, 7 through 11, and 13 through 19 survive termination.

14. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY DEFECT WILL BE CORRECTED. YOU USE THE SERVICE AT YOUR OWN RISK.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER WE NOR OUR AFFILIATES, OFFICERS, EMPLOYEES, OR SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, GOODWILL, DATA, VIRTUAL ITEMS, OR STANDINGS, ARISING OUT OF OR RELATING TO THE SERVICE, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US$100.

Some jurisdictions do not allow these limitations, so some of the above may not apply to you.

16. Indemnity

You agree to indemnify and hold harmless Joint Innovation Group LLC, its affiliates, and their officers, directors, employees, and agents from any claim, demand, loss, liability, or expense (including reasonable legal fees) arising out of your User Content, your use of the Service, your violation of these Terms or the Community Guidelines, or your violation of any law or of the rights of a third party.

17. Governing Law and Disputes

These Terms and any dispute arising out of them or the Service are governed by the laws of the State of Arizona, without regard to its conflict of laws rules. The exclusive jurisdiction and venue for any action will be the state and federal courts located in Maricopa County, Arizona, and each party waives any objection to jurisdiction or venue there.

FOR THE ATTORNEY: decide whether to add an arbitration clause and class-action waiver here. Many consumer gaming operators include one; it is a real decision with trade-offs and should be drafted rather than borrowed.

18. Feedback

If you send us comments or ideas about the Service, you agree that your disclosure is unsolicited and unrestricted, that it places us under no obligation of confidence or compensation, and that we are free to use it for any purpose.

19. Changes to These Terms

We may update these Terms. When we do, we will post the updated version with a new effective date, and where the changes are material we will ask you to accept them before you keep playing. Continuing to use the Service after a change takes effect means you accept the updated Terms. If you do not accept them, stop using the Service and delete your account.

20. General

These Terms, together with the Privacy Policy and Community Guidelines, are the entire agreement between you and us relating to the Service. If any provision is held unlawful, void, or unenforceable, it is severed and the rest remains in effect. Our failure to enforce a provision is not a waiver of it, and any waiver must be in writing and applies only to the instance identified. You may not assign these Terms or any rights under them without our prior written consent; we may assign them freely.
